These Terms constitute a legally binding agreement between you ("User") and Engineer On Road ("Company," "we," "our," or "us").

Engineer On Road is India's leading industrial content creation and B2B marketing platform. Our services include, but are not limited to:

• Product Explainer Videos & Animation: Professional product demonstrations and animations.
• Corporate Profile Video Creation: Brand story and corporate profile videos.
• Lead Generation Campaigns: B2B lead generation strategies and campaigns.

Service availability, scope, and pricing are subject to change. Specific terms for individual service engagements will be outlined in separate service agreements or proposals.

Our Content

All content on this Website — including text, graphics, logos, images, audio clips, video content, data compilations, and software — is the property of Engineer On Road or its content suppliers and is protected by Indian and international copyright, trademark, and intellectual property laws.

Client Content

Content created for clients remains the intellectual property as specified in the individual service agreement. By default, upon full payment, clients receive the rights specified in their project agreement. Engineer On Road may retain the right to showcase work in its portfolio unless otherwise agreed.

Your Use Restrictions

• You may not reproduce, distribute, or create derivative works without our written permission.
• You may not use our content for commercial purposes without a licence agreement.
• You may not remove or alter copyright notices or proprietary designations.
• You may share our content with proper attribution for non-commercial purposes.

You agree not to engage in any of the following activities when using our Website or services:

• Violating any applicable local, national, or international law or regulation
• Transmitting unsolicited or unauthorised advertising or promotional material (spam)
• Attempting to gain unauthorised access to our systems, servers, or networks

For all services engaged through Engineer On Road:

• Project Agreements: All commercial engagements require a separate written agreement outlining scope, deliverables, timelines, and payment terms.
• Advance Payment: We typically require a 50% advance payment before project commencement, with the balance due upon delivery, unless otherwise agreed in writing.
• GST: All prices are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise. Applicable GST will be added to all invoices.
• Late Payments: Outstanding payments may attract interest at 18% per annum or as applicable under the Micro, Small and Medium Enterprises Development Act, 2006.
• Project Changes: Any changes to the agreed project scope may result in additional charges, which will be communicated and agreed upon in writing before implementation.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during service engagements. This includes, but is not limited to:

• Business strategies, plans, and operational details
• Client lists, contacts, and relationship information
• Financial information and pricing structures
• Technical information and trade secrets
• Unpublished creative content and materials

Confidentiality obligations do not apply to information that is already publicly available, disclosed with the owner's consent, or required to be disclosed by law.

By using our services or website, you represent and warrant that:

• You are at least 18 years of age or have the consent of a parent or guardian.
• You have the legal authority to enter into these Terms on behalf of yourself or any entity you represent.
• All information you provide to us is accurate, current, and complete.
• Your use of our services does not violate any applicable laws or regulations.

Engineer On Road warrants that:

• We will provide services with reasonable skill and care.
• Our services comply with applicable Indian laws and regulations.
• We have the necessary rights, licences, and permissions to provide the agreed services.

To the fullest extent permitted by applicable law, Engineer On Road shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.
• Any loss of profits, revenue, data, or business opportunities.
• Any damages resulting from third-party actions, technical failures outside our control, or force majeure events.
• Any inaccuracies in content published on third-party platforms based on our work.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the preceding three months.

This limitation does not apply to liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

These Terms shall be governed by and construed in accordance with the laws of India, specifically applicable laws of the National Capital Territory of Delhi, without regard to conflict of law principles.

Dispute Resolution

In the event of any dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter amicably through good-faith negotiations.

If a dispute cannot be resolved through negotiation within 30 days, it shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.

For matters not subject to arbitration, both parties consent to the exclusive jurisdiction of the courts located in New Delhi, India.

Either party may terminate a service engagement with 30 days' written notice, unless otherwise specified in a service agreement. We reserve the right to immediately terminate or suspend your access to our website or services if:

• You breach any provision of these Terms.
• We are required to do so by law or regulatory authority.
• We believe your actions may cause harm to us, other users, or third parties.

Upon termination, provisions of these Terms that by their nature should survive will remain in effect, including intellectual property provisions, liability limitations, and governing law.
